1. Introduction

1.1 These Terms and Conditions of Use (“Terms of Use”) govern your access to and use of the Branchlate platform (“Branchlate” or the “Service”) provided by Maxime Burri (“we,” “us,” or “our”), a sole proprietor based in Geneva, Switzerland.

1.2 By accessing or using Branchlate, you (“you” or the “User”) agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, do not access or use the Service.

1.3 These Terms of Use incorporate by reference our Privacy Policy and our General Terms and Conditions of Sale (“Terms of Sale”) if you purchase or subscribe to any paid features or plans. In the event of a conflict between these Terms of Use and the Terms of Sale, the Terms of Sale will control for payment and billing matters.

2. Eligibility and User Accounts

2.1 Legal Capacity

• By using Branchlate, you represent and warrant that you have the legal capacity to form a binding contract in your jurisdiction and have reached the age of majority in your place of residence.

2.2 Account Registration

• To access certain features of Branchlate, you must create an account. During registration, you agree to provide accurate, current, and complete information, and keep it updated.

2.3 Account Security

• You are responsible for maintaining the confidentiality of your login credentials.

• You agree to notify us immediately at info@branchlate.com of any unauthorized use of your account.

• We are not liable for any loss or damage arising from your failure to comply with this security obligation.

3. Description of the Service

3.1 Overview

• Branchlate is a SaaS platform that integrates translation management into the development workflow by leveraging version control branches and AI-powered suggestions. It provides features including but not limited to:

• Live preview of translations (for Web Apps that serve translations in a separate network call),

• A CLI for synchronization,

• A Chrome extension for immediate testing,

• AI translation suggestions through third-party AI services,

• Multi-environment management for code and translations.

3.2 Modifications

• We reserve the right to modify or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any such modification or discontinuation.

4. Acceptable Use Policy

4.1 Prohibited Activities

You agree not to use Branchlate to:

• Engage in illegal activities or promote conduct that is unlawful;

• Upload or share content that is defamatory, fraudulent, hateful, or otherwise harmful;

• Infringe the intellectual property or privacy rights of others;

• Interfere with the operation of the Service or any other user’s use of the Service;

• Attempt to gain unauthorized access to the Service or its related systems or networks.

4.2 AI-Generated Translations

• The Service may provide AI-powered translation suggestions from a third-party provider. You agree not to misuse or exploit these AI features in any manner that could harm others, produce unlawful content, or violate any applicable laws.

5.1 Ownership by Us

• We (or our licensors) own all rights, title, and interest in and to Branchlate, including but not limited to its code, design, logos, trademarks, trade names, and associated intellectual property. Except for the limited license granted herein, no rights are transferred to you.

5.2 License to Use

• Subject to these Terms of Use, we grant you a non-exclusive, non-transferable, revocable license to access and use Branchlate for your internal business or personal purposes.

5.3 User-Generated Content

• If you upload translations, text, or other content (“User Content”) to the Service, you represent that you have the necessary rights and permissions to do so.

• You retain ownership of all intellectual property rights in your User Content. By submitting or uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such User Content only as necessary to provide the Service.

5.4 Disclaimer for AI-Generated Content

• Any AI-generated translations or suggestions made available to you via Branchlate are provided “as is.” We do not claim ownership of AI-generated content. You are responsible for reviewing and verifying any AI-generated output before using or publishing it.

6. Privacy

6.1 Personal Data

• Our collection, use, and disclosure of personal data in connection with Branchlate are described in our Privacy Policy, which forms an integral part of these Terms of Use.

6.2 Cookies & Local Storage

• Branchlate may use browser cookies or local storage to store user preferences and other essential data. By using the Service, you consent to such practices as described in our Privacy Policy.

7. Fees and Payments

7.1 General

• Some features of Branchlate require payment, governed by our Terms of Sale. If you choose to purchase a subscription or pay for any Service, you agree to the Terms of Sale.

7.2 Non-Payment

• Failure to pay any fees or charges when due may result in the suspension or termination of your access to the Service.

8. Disclaimers and Limitations of Liability

8.1 Service Provided “As Is”

• Branchlate is provided on an “as is” and “as available” basis. We make no warranties, express or implied, regarding the Service’s performance, functionality, or suitability for any particular purpose, to the maximum extent permitted by Swiss law.

8.2 No Guarantee of Accuracy

• We do not guarantee the accuracy or reliability of any translation suggestions, including those generated by third-party AI. You are solely responsible for verifying the correctness and legality of all content (including AI-generated translations) you use.

8.3 Limitation of Liability

• To the maximum extent permitted by Swiss law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill arising from or in connection with your use of the Service.

8.4 Force Majeure

• We shall not be liable for any delay or failure to perform due to events beyond our reasonable control, including but not limited to natural disasters, strikes, internet outages, or third-party service disruptions.

9. Termination

9.1 Termination by You

• You may terminate your account at any time by contacting us at info@branchlate.com or through the account settings (if available).

9.2 Termination by Us

• We may terminate or suspend your access to Branchlate immediately if you violate these Terms of Use, violate the Terms of Sale, fail to pay applicable fees, or if required to do so by law.

9.3 Effect of Termination

• Upon termination, your right to use the Service immediately ceases. Any accrued rights or obligations shall survive termination, including payment obligations.

10. Changes to these Terms of Use

10.1 Unilateral Changes

• We reserve the right to modify or update these Terms of Use at any time, with or without notice.

• Material changes will be communicated to you via email or by posting a prominent notice on our website. By continuing to use the Service after any changes become effective, you agree to the updated Terms of Use.

12.3 Assignment

• We may assign or transfer our rights and obligations under these Terms of Use in connection with a merger, acquisition, or sale of all or substantially all assets, or by operation of law. You may not assign or transfer your rights without our prior written consent.

12.4 No Waiver

• Our failure to enforce any right or provision of these Terms of Use does not constitute a waiver of that right or provision.
