Branchlate - General Terms and Conditions of Sales

1. Introduction

1.1 These General Terms and Conditions of Sale (“Terms of Sale”) govern the sale of subscription plans and related services provided by Maxime Burri (“we,” “us,” or “our”), a sole proprietor based in Geneva, Switzerland, via the Branchlate platform (“Branchlate” or the “Service”).

1.2 By purchasing a subscription or otherwise paying for the Service, you (“you” or the “Customer”) agree to be bound by these Terms of Sale. Please read them carefully before completing your purchase.

1.3 If you do not agree to these Terms of Sale, you must not purchase or use the Service.

3. Scope of Application

3.1 These Terms of Sale apply exclusively to the purchase and payment of subscription plans or related paid features offered by Branchlate.

3.2 Separate terms govern your general use of Branchlate (the “Terms and Conditions of Use”), and your personal data is governed by our “Privacy Policy.” In the event of a conflict between these Terms of Sale and the Terms and Conditions of Use, these Terms of Sale will prevail with respect to payment and billing matters.

4. Description of the Service & Subscription Plans

4.1 Branchlate is a SaaS platform that integrates translation management into the development workflow, offering functionalities such as:

• AI-powered translation suggestions (via a third-party AI provider),

• Live preview of translations,

• Branchlate CLI for synchronization,

• Chrome extension for immediate testing,

• Team collaboration features (depending on plan).

4.2 We offer multiple subscription tiers (“Solopreneur,” “Startup,” and “Enterprise”) with distinct word limits, features, support levels, and pricing. Subscription tiers may change or be updated from time to time. Current details can be found on our website or within the Service interface.

4.3 Each subscription plan renews automatically at the end of its billing cycle, unless you cancel according to Section 8 below.

5. Pricing & Payment

5.1 Prices

• Our prices are stated in Swiss Francs (CHF) or in United States Dollars (USD).

• No VAT is charged currently, as we do not meet the Swiss VAT threshold. Should our status change, we reserve the right to add VAT or other applicable taxes and will notify you accordingly.

5.2 Payment Methods

• At present, subscriptions may be invoiced manually or processed through our chosen payment provider (e.g., Stripe).

• You are responsible for providing accurate and updated payment information. If payment cannot be processed, your access to the Service may be suspended or terminated.

5.3 Billing Cycle

Monthly Subscriptions: Billed every month in advance and automatically renewed at the then-current price unless canceled according to Section 8.1.

Annual Subscriptions: Billed once per year in advance, automatically renewed at the then-current price unless canceled according to Section 8.2.

5.4 No Refunds

• All payments are final. We do not offer refunds or credits, unless required by applicable law.

5.5 Cooling-Off Period

• As a Switzerland-based service, we do not offer a cooling-off period. If you reside in a jurisdiction that mandates a cooling-off period, we will comply with applicable local laws to the extent they are mandatory and cannot be waived.

6. Late Payments & Suspension

6.1 Overdue Payments

• If your payment is overdue, we reserve the right to immediately suspend or limit your access to the Service until the outstanding balance is paid in full.

6.2 Continued Non-Payment

• If we do not receive payment within a reasonable time, we may terminate your subscription and/or pursue legal remedies according to Section 10 (Termination).

7. Changes to Pricing and Terms

7.1 Price Changes

• We may adjust our pricing and subscription tiers at any time. Any price changes will apply only to subsequent billing cycles.

• We will notify you by email of any change at least thirty (30) days before the end of your current billing period.

7.2 Changes to Terms of Sale

• We reserve the right to modify these Terms of Sale at any time. The revised Terms of Sale will apply to any new purchases or renewals following the effective date of the revised Terms.

• We will notify you by email or via the Service of any material change.

8. Cancellation & Renewal

8.1 Monthly Subscriptions

• You may cancel your monthly subscription at any time via your account settings or by contacting us.

• The cancellation takes effect at the end of the current billing cycle. No partial refunds are provided.

• If you do not cancel, your subscription will automatically renew at the then-current price on a month-to-month basis.

8.2 Annual Subscriptions

• You may cancel your annual subscription at any time, but your account will remain active until the end of the prepaid annual term. No partial refunds are provided.

• If you do not cancel, the subscription will automatically renew for another year at the then-current price.

9. Liability & Disclaimers

9.1 Service Provided “As Is”

• We provide Branchlate and all associated services on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, to the fullest extent permissible under Swiss law.

9.2 Disclaimer of Responsibility for Translations

• The Service may include AI-driven translation suggestions provided by third-party services. We do not guarantee the accuracy, reliability, or suitability of any translation result, nor do we assume liability for any offensive or harmful content generated by such third-party AI.

• You acknowledge and agree that you are solely responsible for reviewing all translations and ensuring their correctness and appropriateness.

9.3 Exclusion of Certain Damages

• To the maximum extent permitted by Swiss law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill.

9.4 Force Majeure

• We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to natural disasters, war, civil unrest, strikes, internet outages, or third-party service disruptions.

10. Termination

10.1 Termination by Us

• We may terminate or suspend your subscription and/or access to the Service with immediate effect if you materially breach these Terms of Sale or fail to pay any amounts owed.

10.2 Effect of Termination

• Upon termination, your right to access or use paid features ceases.

• Any unpaid fees accrued before termination remain payable and may be invoiced or charged to your payment method.

11. Governing Law & Jurisdiction

11.1 Governing Law

• These Terms of Sale and any related disputes are governed by and construed in accordance with the laws of Switzerland.

11.2 Jurisdiction

• Any dispute arising from or in connection with these Terms of Sale shall be subject to the exclusive jurisdiction of the courts of the Canton of Geneva, Switzerland.

12. Severability

If any provision of these Terms of Sale is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

13. Assignment

We may assign or transfer our rights and obligations under these Terms of Sale in the event of a merger, acquisition, or sale of all or substantially all assets, or by operation of law. You may not assign or transfer your subscription or any rights under these Terms of Sale without our prior written consent.

14. Entire Agreement

These Terms of Sale, together with our Terms and Conditions of Use and Privacy Policy, constitute the entire agreement between you and us regarding the sale of subscriptions and paid features through Branchlate. They supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and us with respect to the Service.
